    Worker Participation Agreement

Last Updated: December 30, 2025 · The Lab Enterprise (trading as A-xiom.online)

    1. Acceptance of Terms

By creating a worker account, accepting a project, or utilizing the A-xiom.online platform ("The Platform"), you ("The Worker") agree to be bound by these Terms of Service. These Terms constitute a legally binding agreement between you and The Lab Enterprise ("The Company").

    2. Platform Definition

The term "Vibe Coding Platform" refers to any current or future software, AI-powered environment, generative UI builder, or low-code/no-code orchestration tool utilized by the Company to generate code, design, or web assets (e.g., Lovable, Wix Studio, Replit, Bolt, etc.).

You acknowledge that the Company's workflow is tool-agnostic and these terms apply regardless of the specific software brand used to execute a project.

    3. Commissions & Compensation

    3.1 Payment Terms

Commission payments are contingent upon the Company's receipt of payment from the Client. We distribute a share of revenue only after it has been secured.

    3.2 Client Retention

"Lifetime Commission" refers to the active lifespan of the Client's subscription. If a Client cancels or terminates their contract, the revenue stream ceases.

    3.3 Liability

The Lab Enterprise shall not be held liable for any loss of potential income resulting from client cancellations, refunds, or business decisions to terminate a client relationship.

    4. Contribution Algorithm

You earn commissions based on your active contribution to the project's codebase and design.

    4.1 Dynamic Ownership

Commission percentages are calculated dynamically based on the "Contribution Algorithm," which measures the total effort and value present in the live website.

    4.2 Updates & Maintenance

If a Client requests an update and you are unavailable or unresponsive, the Company may assign a different Worker to the task.

    4.3 Commission Adjustment

When a new Worker contributes to an existing project, the Contribution Algorithm recalculates the commission split. For example, if Worker A built the original site (100%) but Worker B adds a new section representing 15% of the site's value, Worker A's commission adjusts to 85% and Worker B receives 15%.

    4.4 Permanence

This adjustment is permanent for as long as that work remains part of the project.

    5. Intellectual Property

All work performed through the Platform is considered "Work Made for Hire."

    • The Lab Enterprise retains ownership of all code, prompts, designs, and final websites.
    • You assign all copyright and intellectual property rights in your contributions to The Company.

    6. Confidentiality

You agree to keep the following confidential:

    • The specific algorithms used to calculate effort and commissions
    • Internal processes and workflow strategies
    • Any information regarding the Company's clients

    7. Non-Compete

During your time on the Platform and for one (1) year after your last active project, you shall not establish or manage a competing platform that utilizes a similar commission-based workflow.

Permitted: You may work as an individual freelancer for your own direct clients, provided you do not use A-xiom's proprietary workflow, client list, or commission logic.

    8. Worker Responsibilities

    8.1 Independent Contractor

You are a freelancer, not an employee. You are responsible for your own taxes and social security in your country of residence.

    8.2 Quality Assurance

You are responsible for verifying that all AI-generated code is functional and secure before submission.

    8.3 Communication

Timely communication is important. If you fail to respond to a Company message regarding an active project within 48 hours without prior notice, the Company may reassign the project.

    9. Governing Law

These Terms shall be governed by the laws of Belgium. Any disputes arising from these Terms shall be resolved in the courts of the district where The Lab Enterprise is established.
